Please read these Terms of Service ("Terms") carefully before using the website located at thetraderalert.com (the "Site") or purchasing any subscription products offered by The Trader Alert ("Company," "we," "us," or "our"). By accessing the Site or purchasing a subscription you agree to be bound by these Terms. If you do not agree to these Terms do not use the Site or purchase any products.

1. Description of Service

The Trader Alert provides custom alert indicator software ("Indicators") designed for use with NinjaTrader 8 and other compatible trading platforms. Our Indicators are technical tools that notify users when user-defined conditions are met on a price chart. We do not provide financial advice, investment recommendations, trading signals or any form of managed trading services.

2. Eligibility

You must be at least 18 years of age to use our services. By using the Site and purchasing a subscription you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3. Subscriptions and Payment

The Trader Alert offers subscription-based access to its Indicator software. By subscribing you authorize us to charge the payment method you provide on a recurring basis at the subscription rate you selected.

  • Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.
  • You may cancel your subscription at any time through your Account Portal. Cancellation takes effect at the end of the current billing period and you will retain access through that date.
  • We reserve the right to change subscription pricing with reasonable advance notice to existing subscribers.
  • All payments are processed securely through Stripe. We do not store your payment information.

4. Refund Policy

All subscription fees are generally non-refundable. However we handle refund requests on a case by case basis. If you believe you are entitled to a refund please contact us at support@thetraderalert.com within 7 days of your purchase and we will review your request.

5. License Grant and Restrictions

Subject to your compliance with these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Indicators for your personal, non-commercial trading activities.

You may not:

  • Copy, reproduce, distribute, sell, resell or sublicense the Indicators to any third party
  • Reverse engineer, decompile, disassemble or attempt to derive the source code of the Indicators
  • Modify, adapt or create derivative works based on the Indicators
  • Share your license key with any other person or entity
  • Use the Indicators on more machines than permitted by your subscription plan
  • Use the Indicators for any commercial purpose including providing trading services to others

6. License Key and Machine Activations

Upon subscription you will receive a unique license key that activates the Indicators on your machine. Each subscription includes a limited number of machine activations as specified at the time of purchase. You are responsible for keeping your license key confidential. We are not responsible for unauthorized use of your license key.

7. No Financial Advice

The Indicators are technical tools only. Nothing on the Site or within the Indicators constitutes financial advice, investment advice, trading advice or any other form of advice. You should not make any financial decision based solely on the output of our Indicators. Always consult with a qualified financial professional before making trading or investment decisions.

8. Disclaimer of Warranties

THE INDICATORS AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY AND NON-INFRINGEMENT.

We do not warrant that the Indicators will be error-free, uninterrupted or free of bugs. We do not warrant that alerts will fire at any specific time or that notification delivery (including email and SMS) will be timely or uninterrupted.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TRADER ALERT, ITS OWNERS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA OR GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE INDICATORS OR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend and hold harmless The Trader Alert and its owners, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Indicators, your violation of these Terms, or your violation of any rights of another person or entity.

11. Intellectual Property

All content on the Site and the Indicators themselves including but not limited to software code, design, text, graphics and logos are the exclusive property of The Trader Alert and are protected by applicable intellectual property laws. You may not use any of our intellectual property without our prior written consent.

12. Termination

We reserve the right to suspend or terminate your access to the Indicators and services at any time, with or without notice, for any reason including but not limited to violation of these Terms. Upon termination your license to use the Indicators will immediately cease.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by email to your registered address. Your continued use of the Site or services following any changes constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

16. Third-Party Platform Disclaimer

The Trader Alert is an independent software company and is not affiliated with, endorsed by, sponsored by or in any way officially connected with NinjaTrader LLC or any of its subsidiaries or affiliates. NinjaTrader® is a registered trademark of NinjaTrader LLC. References to NinjaTrader on this Site are solely for the purpose of describing software compatibility and do not imply any official relationship or endorsement.

Use of The Trader Alert indicators requires a separately licensed copy of NinjaTrader 8 and a compatible data feed. NinjaTrader LLC is not responsible for the performance or support of The Trader Alert products.
